Terms of Use

These Terms govern access to and use of the IDEAWA mobile application, website, AI-powered features, recommendations, subscriptions, and related services.

1. Agreement and Service Provider

These Terms of Use ("Terms") form a binding agreement between you and IDEAWA GROUP, TOO, a limited liability partnership registered in the Republic of Kazakhstan ("IDEAWA," "we," "us," or "our").

By downloading, accessing, creating an account for, purchasing through, or using IDEAWA, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

2. Eligibility

You must be at least 13 years old, or the higher minimum age required to use online services in your country. If you are under the age of legal majority where you live, a parent or legal guardian must review and agree to these Terms on your behalf.

IDEAWA is not designed for children and should not be presented to a child as a child-directed service.

3. Accounts

• You must provide accurate information and keep account information current.
• You are responsible for protecting your credentials and for activity under your account.
• Notify us promptly if you suspect unauthorized access.
• You may not create accounts through automated means, impersonate another person, or transfer an account without permission.

You may delete your account through Settings → Account → Delete Account or through the external deletion page listed below. Account deletion is separate from subscription cancellation.

4. License to Use IDEAWA

Subject to these Terms, IDEAWA grants you a limited, personal, revocable, non-exclusive, non-transferable, and non-sublicensable license to install and use the app and access the Services for lawful personal use.

You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, decompile, extract source code, circumvent technical restrictions, or create derivative works from IDEAWA except to the extent a restriction is prohibited by applicable law.

For apps obtained through Apple App Store, your license is also subject to Apple's Usage Rules and the Apple Standard End User License Agreement unless a valid custom EULA applies. For apps obtained through Google Play, use is also subject to applicable Google Play terms.

5. What IDEAWA Provides

IDEAWA is a leisure and lifestyle recommendation service. It may suggest places, events, activities, media, travel ideas, and personal plans using your request, preferences, location, time, weather, prior feedback, third-party data, and AI-generated explanations.

Features, recommendation categories, content sources, supported locations, and free or paid access may change over time.

6. AI-Generated Content

• AI-generated responses are provided for informational and entertainment purposes and may be inaccurate, incomplete, inappropriate, or outdated.
• IDEAWA is not a medical, mental-health, legal, financial, emergency, transportation, or safety service. Do not rely on IDEAWA as a substitute for qualified professional advice or emergency assistance.
• You are responsible for evaluating recommendations and deciding whether an activity, place, event, route, purchase, or interaction is appropriate and safe.
• Verify material details with the relevant venue or provider, including availability, opening hours, location, accessibility, ticket terms, price, age restrictions, weather, and travel conditions.
• Do not submit highly sensitive data, secrets, passwords, payment-card details, government identifiers, or confidential third-party information in prompts.

IDEAWA may filter, block, remove, or refuse prompts or outputs that violate these Terms or platform policies.

7. Real-World Recommendations and Safety

IDEAWA does not own, operate, endorse, inspect, or control third-party venues, events, routes, products, transportation, accommodation, or activities unless explicitly stated.

• Use ordinary care and follow applicable laws, venue rules, age restrictions, health and safety guidance, and official instructions.
• Do not use the app while driving or in any manner that distracts you from traffic or surroundings.
• Map, distance, travel-time, opening-hours, availability, and pricing information may be estimated or supplied by third parties and can change without notice.
• A recommendation is not a guarantee of quality, availability, legality, suitability, or safety.

8. User Content and Feedback

You retain ownership of messages, prompts, notes, feedback, and other content you submit ("User Content").

You grant IDEAWA a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, adapt for technical formatting, and display User Content only as reasonably necessary to provide, secure, maintain, personalize, and improve the Services, enforce these Terms, and comply with law. This license ends when the content is deleted, except for limited copies retained as described in the Privacy Policy or where content has been lawfully de-identified.

Feedback and product suggestions may be used by IDEAWA without restriction or compensation, provided we do not publicly identify you without permission.

9. Prohibited Conduct and Content

You must not use the Services to:

• Violate any law, regulation, court order, or third-party right.
• Create, request, upload, or distribute content involving child sexual exploitation, non-consensual sexual content, human trafficking, terrorism, credible threats, or instructions facilitating serious wrongdoing.
• Harass, threaten, defame, discriminate against, exploit, or invade the privacy of another person.
• Infringe copyright, trademark, privacy, publicity, confidentiality, or other rights.
• Submit malware, malicious code, spam, deceptive content, fraudulent requests, or content intended to manipulate or bypass safety systems.
• Probe, disrupt, overload, scrape, crawl, benchmark without authorization, or interfere with the Services, accounts, networks, or security measures.
• Use automated systems to create accounts, extract content, or send requests except through an authorized API or written agreement.
• Resell, commercially exploit, or use IDEAWA content or recommendations to build a competing service without written permission.
• Misrepresent AI output as verified fact where doing so could deceive or harm others.

10. Reporting Content

You can report offensive, unsafe, illegal, or otherwise inappropriate AI-generated content using the in-app report function associated with the relevant response or recommendation. You may also contact support. We may review reports, apply content filters, restrict features, or take other appropriate action.

11. Third-Party Services and Content

IDEAWA may integrate or link to third-party maps, venue listings, event platforms, ticket sellers, stores, media services, weather providers, AI providers, and other websites or apps. Third-party services are governed by their own terms and privacy policies.

IDEAWA is not responsible for third-party content, availability, transactions, refunds, acts, omissions, or service quality. A link or recommendation does not imply endorsement.

12. Subscriptions, Purchases, and Trials

• Paid features, subscription duration, price, billing period, included benefits, and any trial terms will be shown before purchase in the applicable store and in the app.
• Auto-renewable subscriptions renew unless canceled through your Apple App Store or Google Play account before the applicable renewal deadline.
• The store may charge your account in accordance with its billing terms. Prices and taxes may vary by country or region.
• You can manage or cancel a subscription through the applicable store subscription settings. Deleting the IDEAWA account or uninstalling the app does not automatically cancel a subscription.
• Unless required by law or platform rules, payments are non-refundable and cancellation normally takes effect at the end of the current billing period. Refund requests are handled by the store through which the purchase was made.
• If a free trial converts to a paid subscription, the applicable duration, price, and cancellation terms will be disclosed before enrollment.
• You may be able to restore eligible purchases by using the restore-purchases feature or the applicable store account.

IDEAWA subscriptions are intended to provide ongoing access to personalized recommendations, updated content, and recurring service features.

13. Intellectual Property

IDEAWA, its software, designs, interfaces, trademarks, branding, text, selection and arrangement of content, and other proprietary materials are owned by or licensed to IDEAWA and are protected by intellectual- property laws.

Third-party names, logos, images, listings, and content remain the property of their respective owners and may be used under license, platform terms, API terms, or applicable law.

14. Service Changes and Availability

We may add, remove, suspend, limit, or modify features, recommendation sources, usage limits, or availability. We may perform maintenance or experience outages. We do not guarantee that every feature or recommendation source will be available in every location or at all times.

Where required by law, we will provide notice of a material adverse change to a paid subscription.

15. Suspension and Termination

We may restrict, suspend, or terminate access if you violate these Terms, create risk or legal exposure, misuse the Services, fail to pay applicable charges, or if suspension is reasonably necessary to protect users, IDEAWA, or third parties.

You may stop using the Services at any time and may delete your account. Sections that by their nature should survive termination, including intellectual property, disclaimers, liability limitations, dispute terms, and payment obligations, will survive.

16. Disclaimers

To the maximum extent permitted by law, the Services are provided "as is" and "as available." IDEAWA disclaims warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and uninterrupted or error-free operation.

Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded under applicable consumer law.

17. Limitation of Liability

To the maximum extent permitted by law, IDEAWA and its officers, employees, contractors, affiliates, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; loss of profits, data, goodwill, opportunities, or enjoyment; personal decisions based on recommendations; or third-party acts or services.

To the maximum extent permitted by law, IDEAWA's aggregate liability arising from the Services will not exceed the greater of the amount you paid to IDEAWA for the Services during the 12 months before the event giving rise to liability or USD 100.

These limitations do not apply to liability that cannot be limited or excluded by law, including where applicable liability for fraud, willful misconduct, or death or personal injury caused by negligence.

18. Governing Law and Disputes

These Terms are governed by the laws of the Republic of Kazakhstan, without regard to conflict-of-law rules. Courts located in Almaty, Kazakhstan will have jurisdiction, except where mandatory consumer law gives you the right to bring a claim in another court or under another law.

Before filing a formal claim, you agree to contact us and provide a reasonable opportunity to resolve the dispute informally. This does not limit any right to contact a regulator or consumer-protection authority.

19. Changes to These Terms

We may update these Terms to reflect changes in the Services, law, platform requirements, or business practices. We will post the revised Terms with an updated date and provide additional notice where required. Continued use after the effective date constitutes acceptance to the extent permitted by law.

20. Apple-Specific Terms

The following provisions apply when you obtain or use the iOS version of IDEAWA:

• These Terms are between you and IDEAWA, not Apple. IDEAWA, not Apple, is solely responsible for the app and its content.
• The license is limited to a non-transferable right to use the app on Apple-branded products you own or control, as permitted by Apple's Usage Rules, including any permitted Family Sharing or volume-purchase use.
• Apple has no obligation to provide maintenance or support for the app. Contact IDEAWA for support.
• If the app fails to conform to an applicable warranty, you may notify Apple and Apple may refund the purchase price, if any, as required by Apple's terms. To the maximum extent permitted by law, Apple has no other warranty obligation.
• IDEAWA, not Apple, is responsible for addressing claims relating to the app, including product liability, legal or regulatory compliance, and consumer-protection claims.
• IDEAWA, not Apple, is responsible for investigating, defending, settling, and resolving claims that the app infringes third-party intellectual-property rights.
• You represent that you are not located in a country subject to a United States government embargo and are not listed on a United States government prohibited or restricted party list.
• You must comply with applicable third-party terms when using the app.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce the Apple-specific provisions against you after your acceptance.
